1. Scope of Services
Beryl India offers a variety of creative services, including brand naming, design, strategy, content, consulting, and related solutions. Every project is governed by a custom proposal or agreement that outlines the specific scope, deliverables, timelines, and fees. Projects begin only after you accept our proposal and provide the agreed-upon advance payment.
2. Client Responsibilities
You agree to provide a clear brief, nominate a single point of contact, and deliver all necessary assets, information, and approvals on time. Delays or changes to the brief may impact project timelines and could incur additional charges. You are fully responsible for the accuracy, legality, and ownership of all content and materials you provide, including any necessary legal approvals or trademark checks.
3. Fees and Payments
Project fees are detailed in your proposal and typically require 50% advance payment before work starts, with the remaining 50% due before final deliverables are released. The Client shall remit payment within three (3) calendar days from the date of the invoice. Delays attract interest at 30% per annum. Any third-party licenses (fonts, stock images, software) are billed separately and must be paid by you. Full payment is required before we release any work. Late payments may incur interest or fees as allowed by law. The Client shall not withhold, delay, or deduct any approved and invoiced amount, in toto, and without set-off, counterclaim, or deduction under any circumstances.
4. Intellectual Property
All drafts, concepts, source files, and preliminary materials remain the property of Beryl India. Intellectual property rights to the final approved deliverables transfer to you only after full payment is received. Only the final approved deliverable is transferred; all other options or suggestions remain our property. You are responsible for obtaining licenses for any third-party assets used beyond the project scope.
5. Termination
Either party may terminate the project with at least five (5) calendar days’ written notice. Cancellation is not allowed once final deliverables, such as naming options, have been submitted. If you terminate before completion, the advance payment is non-refundable. We reserve the right to terminate immediately and retain all payments in cases of unprofessional or abusive conduct. Projects inactive for 30 days without communication or required materials may be considered abandoned and terminated without refund.
6. Confidentiality
Both parties agree to keep confidential any non-public information shared during the project, except where disclosure is required by law.
7. Warranties and Liability
We warrant that our deliverables will be original and created with professional care. Except as stated, all other warranties are disclaimed. Our total liability for any claim is limited to the fees paid by you for the project. We are not liable for indirect or consequential damages.
8. Indemnification
You agree to indemnify and hold Beryl India harmless from any claims, damages, or costs arising from content you provide, misuse of deliverables, or breach of these Terms.
9. Force Majeure
Neither party is liable for delays or failures caused by events beyond reasonable control, such as natural disasters, government actions, strikes, or internet outages.
10. Website Use
You agree to use our website responsibly and not engage in unauthorized activities like hacking or data scraping. Violations may lead to legal action.
11. Updates to Terms
We may update these Terms from time to time. Significant changes will be communicated via email or website notice at least seven (7) days before taking effect. Continued use of our services means you accept the updated Terms.
12. Governing Law and Dispute Resolution
These Terms are governed by the laws of India. Any disputes will be resolved in courts located in Gautam Buddh Nagar District, Uttar Pradesh. Both parties will first attempt mediation in good faith before legal action.
